Perpetual Client Portal – Terms of Use (Vantage Online)

The Portal allows you to securely: 

• access documents and information we share with you 
• upload documents and information; and 
• provide acknowledgements, instructions or confirmations in relation to services provided to you. 
• You agree to use the Portal only for these purposes and in a lawful and appropriate manner.  

You must use the Portal in a respectful and appropriate manner and must not use the Portal to send, upload or communicate content that is unlawful, misleading, offensive, abusive or  inappropriate or otherwise detrimental to Perpetual’s systems. 

We may suspend or restrict your access to the Portal where we reasonably believe that you are in material breach or suspected material breach of these Terms or any referenced or incorporated policy. 

You are responsible for: 

• ensuring any information you provide is accurate, complete and up to date 
• notifying us of any changes to your personal circumstances or relevant information 
• reviewing documents before providing any acknowledgement or instruction 
• keeping your login details secure and not sharing them with others 
• notifying us as soon as possible if you become aware of any unauthorised access 

You acknowledge and agree that we rely on the information and instructions you provide through the Portal to deliver our services. Inaccurate, incomplete or information provided in delay may impact the quality or effectiveness of those services. 

You must not allow another person to access the Portal using your login details. 

 
If you share your login details, you do so at your own risk and are solely responsible for any actions taken using your account. 
 

If you would like another person to be able to access your information, this must be arranged through appropriate authorisation processes with Perpetual. For further information, please contact your adviser or trust manager.

When using the Portal, you may upload personal and financial information. 

You agree that: 

• you will only upload information that is necessary and relevant 
• you will not upload highly sensitive information unless specifically requested (for example, Tax File Numbers, passwords, or copies of identification documents such as a passport or driver’s licence should not be uploaded). For any avoidance of doubt, we will ask for your consent when we request and collect any sensitive information (e.g. life or disability insurance products or to manage a claim related to such a product); 
• any documents or information you upload are accurate and belong to you, or you are authorised to share them; and 
• you will not upload content that is unlawful, harmful, or interferes with the operation or security of the Portal. 

• You acknowledge and agree that all systems, content and materials made available through the Portal (excluding any documents or information you upload) are owned by or licensed to Perpetual (the Content) And are protected by intellectual property and other applicable laws. 
• We grant you a personal, non-transferable and non-exclusive licence to access and use the Content to the extent required to use the Portal. Under this licence you, 
  • must not copy, reproduce, modify, sublicense, loan, sell, distribute, create derivative works based on or reverse engineer the Content, or otherwise use the Content for any other purpose without our prior written consent; and 
  • must not otherwise infringe the intellectual property rights of any person in using the Content. 
• You retain ownership of any documents or information you upload to the Portal. By uploading such documents or information, you grant Perpetual a licence to use, store and process that information for the purpose of providing services to you and complying with our legal and regulatory obligations. 
• You agree not to access, download or otherwise use the Content other than as expressly permitted by these conditions or otherwise use the Content for any other purpose without our prior written consent.  
• You agree to indemnify us for any loss or damage we incur in relation to the unauthorised use of such Content, except if such loss or damage is caused or contributed by our negligence, fraud or wilful misconduct. 

The Portal supports electronic communication between you and Perpetual. 

Where you: 

• acknowledge a document, or 
• provide an instruction or confirmation 

we may treat this as your agreement, acknowledgement or instruction (as applicable). 

You acknowledge that: 

• your actions in the Portal may be recorded, including the date and time; 
• these records may be relied upon as evidence of your acknowledgement or instruction; and 
• unless you notify us otherwise, we will rely on actions taken through the Portal as having been made by you. 

We may require additional verification before acting on instructions submitted through the Portal, particularly where the instruction relates to transactions, changes to account details, or other sensitive matters. 

In such cases, additional verification measures may change from time to time at our discretion and include any appropriate method of authentication, or contacting you to verify the instruction, transaction or activity on your account. 

We may retain records of Portal activity, communications and documents (including content you upload) in accordance with our legal and regulatory obligations. 

We take reasonable steps to protect your information and maintain the security of the Portal, including authentication and monitoring measures. 

However, you acknowledge that: 

• no system is completely secure; and 
• you play an important role in maintaining the security of your access. 

You must not: 

• attempt to access another person’s account; and 
• interfere with or disrupt the operation or security of the Portal. 

We may suspend or restrict access to the Portal where we consider this necessary to protect your information or the integrity of the system. 

We may suspend or terminate your access to the Portal at any time where reasonably necessary, including for the following security, legal or operational reasons (but not limited to): 

• to comply with our obligations under any applicable laws (including any Anti-Money Laundering or Counter-Terrorism Financing laws and sanctions) or a court order;  
• there is fraud or reasonably suspected fraud; or 
• requests by law enforcement or other government agencies or other body with competent authority. 

While we take reasonable steps to protect your information, you acknowledge that no system is completely secure and that security incidents or unauthorised access may occur. 

Where appropriate, we will manage any such incidents in accordance with our legal and regulatory obligations. 

You should be vigilant to scams or fraudulent communications. Perpetual will never ask you to provide your password or sensitive login details via email or phone. If you receive a suspicious request, please contact us immediately.

We aim to ensure the Portal is available and functioning. However: 

• access may occasionally be unavailable due to maintenance, updates or technical issues; and 
• features and functionality may change over time as the Portal is enhanced.

We may use technology tools (including automated or AI-enabled tools) to support the delivery of services through the Portal. These tools are designed to support (not replace) professional judgement. 

Any information or outputs provided through these tools form part of our broader services and should be considered together with any formal documents provided to you and any discussions you have with your adviser, trust manager, or service team. 

The Portal may interact with, contain, or refer to third-party systems or services and their content.  

Unless expressly stated, Perpetual does not control or endorse and is not responsible for the operation of these third parties.   

We are not responsible for the operation or security of those systems, to the extent permitted by law. Unless expressly stated, Perpetual does not control or endorse, and is not responsible for the operation of these third parties. 

As a result of your access to the Portal, and in providing us with personal information to us, you consent to use collecting, using and disclosing your personal information in accordance with the Perpetual Privacy Policy. 

The Portal is a channel through which personal information is collected and exchanged. You should only use the Portal if you are comfortable sharing your information through this channel. 

If a data breach occurs that is likely to result in serious harm, we will notify affected individuals and the Office of the Australian Information Commissioner in accordance with applicable law. 

The Portal is a tool to support communication, document sharing and service delivery across Perpetual. 

Information made available through the Portal: 

• may be incomplete, subject to change, or provided for general information purposes; and 
• should not be relied on in isolation. 

Where relevant, you should consider any formal documents provided to you and any discussions you have with your adviser or service team before acting on information available through the Portal. Information available through the Portal does not constitute personal financial advice unless expressly stated. You should seek advice from your adviser before making any financial decisions.

The use of this Portal is at your sole risk. Neither Perpetual, nor its directors and officers, make any representation or warranty as to the quality, accuracy, reliability, timeliness or completeness of material in the Portal or material that may be contained in these Terms. 

To the furthest extent permitted by law, Perpetual, its directors, employees and consultants do not accept any liability (whether arising in contract, tort, negligence or otherwise), for any error or omission in the material contained in the Portal or these Terms, or for any loss, damage or cost  (whether direct, indirect, consequential or otherwise), arising from your use of, or inability to access, the Portal, including where information is incomplete, delayed or inaccurate. 

You release, discharge and indemnify Perpetual from and against any liabilities suffered or incurred by you or by Perpetual (including, but not limited to, its directors, officers, employees) as a result of the use of the Portal or in connection with these Terms. 

Nothing in these Terms excludes or limits any rights you may have under the Competition and Consumer Act 2010 (Cth) or other applicable laws. 

We may update these Terms from time to time.  

If we make material changes, we will notify you and may ask you to accept the updated Terms before you are able to continue using the Portal. 

These Terms are governed by and are to be construed in accordance with the laws of New South Wales, Australia. You agree to the non-exclusive jurisdiction of the courts of New South Wales, Australia, and any courts which may hear appeals from those courts in respect of any proceedings in connection with these Terms. 

If you have a complaint, please contact your adviser or trust manager, or visit our making a complaint page for alternative channels. If your complaint is not resolved, or you are not satisfied with the outcome proposed or you believe that we have not resolved your complaint fairly, then you may have the right to escalate it to the Australian Financial Complaints Authority (AFCA).
